These Terms of Use ("Terms") govern the use of the website kidumplus.co.il ("Website") and the services offered by Visual 3D Ltd., under the trade name Kidum Plus ("Company", "we", "our"). Use of the Website and/or Services constitutes full and unconditional acceptance of these Terms. If you do not agree to these Terms - please refrain from using the Website and Services. The Company reserves the right to change, update or replace these Terms at any time without prior notice. Continued use of the Website after changes are published constitutes acceptance of the updated Terms.

• "User", "you", "your" - any person or entity using the Website or Services
• "Services" - all Company services including: website development, SEO promotion, paid advertising, hosting, maintenance, digital consulting and any related service
• "Content" - any material, text, image, video, code, design or information appearing on the Website or created as part of the Services
• "Webydo Platform" - the development and hosting infrastructure used by the Company
• "AI" or "Artificial Intelligence" - automation tools, machine learning and artificial intelligence used in providing the Services

The User declares and confirms that they are solely and fully responsible for any action they perform on the Website and Services, including but not limited to:

• Any content they upload, send, publish or share through the Website or Services
• Any business or marketing decision they make based on information, advice or recommendations received from the Company
• Any damage, loss, loss of profit or expense arising from use or non-use of the Website or Services
• Any result of using Artificial Intelligence (AI) tools offered by the Company, including content, code, design or strategy created using AI
• Any violation of law, regulation, third party rights, intellectual property or any other obligation arising from their actions
• Any incorrect, incomplete, inaccurate or misleading information provided to the Company
• Any unauthorized, illegal or improper use of the Website or Services

The User undertakes to:

• Use the Website and Services for legal purposes only
• Not upload, send or publish offensive, insulting, racist, sexual, violent, illegal or rights-infringing content
• Not attempt to hack, damage, interfere with or cause harm to the Website's systems, servers or security
• Not copy, duplicate, sell or commercially exploit any part of the Website or Services without written permission
• Provide correct, accurate and updated information in any inquiry, order or registration
• Maintain confidentiality of their login credentials (if any)
• Not use bots, scripts or automated tools for malicious or infringing purposes

The Company provides website development, digital promotion and internet marketing services, including:

• Prices on the Website are accurate as of their publication date and may change without prior notice
• All prices exclude VAT unless explicitly stated otherwise
• Payment will be made in advance or according to an agreement signed between the parties
• Cancellation terms, refunds and money-back (if any) will be determined in the specific agreement with the client
• Payment delay may lead to immediate suspension or termination of Services
• The Company may update prices, change pricing structure or offer promotions for a limited period
• Any order or purchase constitutes a binding engagement from the User's perspective

The User agrees and confirms that:

• The Website and Services are provided "as is" (AS IS) without any warranty or commitment
• The Company does not commit to continuous availability, perfect performance or uninterrupted service
• The Company is not responsible for business, marketing or economic results arising from use of the Services
• The Company is not responsible for damages, losses, loss of profits, loss of information or any indirect damage
• The Company does not commit to specific results in promotion, advertising, search engine ranking or conversions
• The Company is not responsible for actions or content of third parties (Google, Facebook, Webydo, etc.)
• The Company is not responsible for errors, bugs, technical failures or compatibility issues in different browsers
• The Company is not responsible for content created, edited or entered by the User or by AI tools

The User undertakes to indemnify, defend and compensate the Company, its shareholders, directors, employees, suppliers and business partners for:

• Any claim, demand, legal proceeding, damage or expense arising from the User's use of the Website or Services
• Any violation of these Terms or any law by the User
• Any infringement of third party rights, including intellectual property rights, privacy or defamation
• Any content the User uploaded, published or shared through the Website or Services
• Any incorrect, negligent or illegal use of the Services
• Any damage to infrastructure, systems or other Company clients caused by the User

The Company uses advanced artificial intelligence tools as part of the Services (SEO promotion, content creation, optimization).

• The User agrees to the use of AI and understands that AI-generated content may be similar to others' content
• The Company does not commit to absolute accuracy, guaranteed quality or complete uniqueness of AI-generated content
• The User is responsible for checking, verifying and editing any AI-generated content before publication or commercial use
• The User declares and confirms that they are solely responsible for any content created using the Company's AI tools
• The Company is not responsible for errors, inaccuracies, copyright infringements or any other damage arising from use of AI-generated content
• The User waives any claim, lawsuit or demand against the Company regarding use of AI or content created through it

Use of the Website and Services is subject to the Company's Privacy Policy.

• The User agrees to collection, use and sharing of information as detailed in the Privacy Policy
• The Company will use information for the purpose of providing Services, improving user experience and business communication
• The Company will act in accordance with Privacy Protection Law and Israeli privacy protection regulations

• The Company will provide secure cloud hosting on Webydo Enterprise platform or equivalent infrastructures
• Automatic backups will be performed on a regular basis, but the Company does not commit to full recovery in case of information loss
• The Company will take reasonable security measures, but will not be liable for breaches, cyber attacks or information loss
• The User is responsible for backing up their content and data independently
• The Company does not guarantee 100% availability (uptime) and there may be downtime for maintenance purposes

The Website may include links to external websites and use of third-party services (Google, Facebook, Webydo, payment providers).

• The Company is not responsible for content, policies or actions of external websites
• The Company is not responsible for availability, performance or failures of third-party services
• The User agrees that use of external websites and services is at their sole responsibility
• Use of third-party services is subject to the terms of use and privacy policies of those services

The Company may, at its sole discretion and at any time:

• Terminate, suspend or restrict access to the Website or Services
• Delete or remove content that violates the Terms or law
• End engagement with a User who violated these Terms
• Change, update or discontinue any service or feature on the Website
• Block a User who caused damage, harm or disruption to the Website, Company or other clients

The Company shall not be liable for failure or delay in fulfilling its obligations due to events beyond its control, including:

• War, hostilities, terrorism, natural disaster, pandemic or national emergency
• Failures in internet infrastructure, electricity, communications or hosting providers
• Cyber attacks, hacking, DDoS or any malicious action by a third party
• Strikes, shutdowns or protest actions
• Technological changes, operating system or browser updates
• Changes in algorithms of Google, Facebook or other digital platforms
• Discontinuation or change in third-party services (Webydo, Google Ads, Facebook)

• These Terms shall be interpreted and governed solely by the laws of the State of Israel
• Exclusive jurisdiction for any dispute or controversy arising from these Terms shall be with the competent courts in the Central District, Israel
• Before approaching a court, the parties undertake to attempt to resolve the dispute peacefully, through mediation or arbitration
• The User waives any right to sue in a class action

• These Terms constitute the entire agreement between the parties and supersede any prior agreement, representation or commitment
• If any provision is found to be illegal or unenforceable, the remaining provisions shall remain in full force
• Non-enforcement of any right or condition shall not be considered a waiver of that right or condition
• The Company may transfer rights and obligations to a third party without the User's consent
• The User may not transfer rights or obligations without written consent from the Company
